Who We Are
Services described on this site are provided by Matthew Becker, doing business as Agentic PNW, a sole proprietorship based in Portland, Oregon. By engaging our services or using this website, you agree to these terms.
Engagements, Proposals & Statements of Work
Every engagement is governed by a written proposal or Statement of Work (SOW) agreed to by both parties before work begins. The proposal or SOW defines the scope, deliverables, timeline, and price. Where these general terms and a signed SOW conflict, the SOW controls. Work outside the agreed scope requires a written change order.
Client Responsibilities
Timely delivery depends on timely inputs. You agree to provide content, brand assets, credentials, approvals, and access (hosting, DNS, analytics, Google Business Profile, and similar) within the timeframes stated in your SOW. Delays in receiving these materials extend the delivery timeline accordingly. You also represent that any materials you supply are yours to use and do not infringe third-party rights.
Intellectual Property
Upon full payment, ownership of the deliverables produced under your SOW (website code, design, and custom tooling) transfers to you. Until full payment is received, all deliverables remain our property. We retain the right to reuse general techniques, know-how, and non-confidential tooling developed during the engagement, and to reference the work in our portfolio unless otherwise agreed in writing.
No Ranking Guarantees
Search engines are third-party platforms outside anyone's control. We engineer every build to current technical best practices and document our work with before-and-after evidence, but we make no warranties, express or implied, regarding specific search rankings, Map Pack placement, traffic levels, or revenue outcomes.
Limitation of Liability
To the maximum extent permitted by law, our total liability for any claim arising from an engagement is limited to the fees you actually paid us under the SOW giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost data.
Governing Law
These terms and any engagement under them are governed by the laws of the State of Oregon, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in Oregon.
