1. Agreement to Terms
By accessing or using the Agentic PNW website ("Site") and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site or Services.
2. Services Description
Agentic PNW provides AI automation consulting, workflow architecture, and related technology services. All deliverables, timelines, and pricing are specified in individual Statements of Work (SOW) or Master Service Agreements (MSA) executed between Agentic PNW and the client.
3. Intellectual Property
All content on this Site, including text, graphics, logos, and code, is the property of Agentic PNW and is protected by copyright, trademark, and other intellectual property laws.
Client-owned data remains the property of the client. Automation logic and custom code developed specifically for a client is transferred to the client upon full payment, unless otherwise specified in the SOW. Agentic PNW retains ownership of general methodologies, frameworks, and reusable components.
4. User Conduct
You agree not to:
- Use the Site or Services for any unlawful purpose
- Attempt to gain unauthorized access to any portion of the Site or Services
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer, decompile, or disassemble any software or systems
- Use automated scripts to collect information from the Site
5. Disclaimer of Warranties
The Site and Services are provided "as is" and "as available" without warranties of any kind, either express or implied. Agentic PNW does not warrant that the Services will be uninterrupted, error-free, or secure. We make no guarantees regarding specific ROI or business outcomes, though we commit to best-effort performance as defined in each SOW.
6. Limitation of Liability
To the maximum extent permitted by law, Agentic PNW shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Site or Services. Our total liability shall not exceed the amount paid by you for the Services in the twelve (12) months preceding the claim.
7. Indemnification
You agree to indemnify and hold harmless Agentic PNW, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Site or Services or your violation of these Terms.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Multnomah County, Oregon.
9. Changes to Terms
We may update these Terms from time to time. We will notify you of significant changes by posting the new Terms on this page with an updated "Last Updated" date. Your continued use of the Site or Services after such changes constitutes acceptance of the revised Terms.
